1. 接受條款

歡迎使用 Proofly。下載、安裝或使用本服務即表示您同意受本服務條款（「本條款」）及《隱私政策》之約束。 若您不同意，請勿使用本服務。

本條款由 Proofly 營運者（「我們」）與您（「用戶」）之間訂立，依據香港法律解釋。

2. 服務描述

Proofly 是一款 iOS 應用程式，提供：

服務性質：本服務為工具，旨在協助您整理收據與草擬報稅文件。本服務不構成任何稅務、會計、法律或財務建議。

3. 帳號

您須使用 Apple Sign In 建立帳號。您須：

年齡限制：您須年滿 13 歲 方可使用本服務；未滿 18 歲者建議在家長/法定監護人指導下使用。

4. 可接受使用

您僅可將本服務用於：個人或您所擁有/受僱之企業的合法收據管理與稅務草擬目的。

您不得：

違反者：我們有權立即終止您的帳號並依法保留追訴權。

5. 訂閱與付款

5.1 方案

本服務提供免費版（每月 30 張收據上限）與付費訂閱（Pro / Business / Accountant）。詳情於 App「設定 → 訂閱」內公佈。

5.2 計費

所有訂閱透過 Apple App Store 收費，依 Apple 條款處理。費用於每個計費週期開始時自動扣款，直到您取消為止。

5.3 取消

您可隨時於 iOS「設定 → Apple ID → 訂閱」取消。取消後您仍享有當期已付期間之服務。已付款項不予退款，但 Apple 可能依其政策提供退款。

5.4 試用

若有 14 天免費試用，取消必須於試用結束前 24 小時內進行，否則自動轉為付費訂閱。

5.5 價格變更

我們保留調整價格之權利。價格變更將提前 30 天通知；您可選擇接受或取消訂閱。

6. 智慧財產權

6.1 我們的權利

Proofly 名稱、Logo、設計、原始碼及所有相關內容為我們所有，受著作權與商標法保護。

6.2 您的權利

您上傳的收據圖片與資料仍歸您所有。您授予我們處理該等資料以提供服務所需之非專屬、免授權金、全球性授權，僅限於： - 儲存、處理、分類、產出報告 - 改善服務品質（匿名化後） - 依法律要求保留

授權於您刪除帳號時自動終止。

7. 報告之「草擬」性質與會計師覆檢

7.1 不取代專業意見

Proofly 不取代註冊會計師、核數師或稅務顧問之專業意見。所有報告（BIR51、Income Statement、Working Paper 等）均標示為 「UNAUDITED ・ 草擬」。

7.2 您的義務

您有義務： - 在向稅務局（IRD / DSF / 國稅局）提交任何文件前，由合資格會計師覆檢及簽署 - 自行確認所有數字、分類與規則之正確性 - 保留所有原始憑證至少 7 年（依香港稅務條例第 51C 條）

7.3 免責

我們不對因依賴本服務輸出而產生之以下後果負責： - 稅款短繳、漏繳、多繳 - 稅務機關罰款或追繳利息 - 審計失誤 - 商業決策損失

8. 服務可用性

我們致力於提供 99% 月度上線時間，但不保證服務絕對連續。我們可能因下列原因暫停或中斷服務：

任何中斷不構成違約，您無權因此要求退款（已付週期內）。

9. 第三方服務

本服務整合下列第三方：Apple、Cloudflare、POE / Quora。其各自之服務條款與隱私政策獨立適用。我們不對第三方服務之可用性、準確性或行為負責。

10. 責任限制

10.1 服務以「現狀」提供

本服務以「現狀」及「可使用即提供」之基礎提供，不附帶任何明示或默示之保證，包括但不限於：

在適用法律允許之最大範圍內，我們對您的全部責任不超過：

10.3 排除損害

我們不對間接、附帶、特殊、懲罰性或衍生損害負責，包括但不限於：營業損失、稅款罰金、商譽損失、資料遺失。

11. 賠償

您同意就以下事項，賠償並使我們免受任何索賠、損害、費用（包括合理律師費）：

12.1 由您終止

您可隨時透過 App「設定 → 帳號 → 刪除帳號」終止帳號（不可逆，所有資料永久刪除）。

12.2 由我們終止

若您違反本條款，我們可在不通知之情況下立即終止您的帳號。已付款項不予退款。

12.3 終止後

帳號終止後，下列條款仍然有效：第 6（IP）、7（免責）、10（責任限制）、11（賠償）、13（管轄）、14（爭議解決）。

13. 適用法律與管轄

本條款受香港特別行政區法律管轄。所有爭議須提交香港特別行政區法院管轄。

14. 爭議解決

雙方應先透過善意協商解決爭議。若 30 天內無法解決，得依下列順序：

  1. 調解：可向香港國際仲裁中心（HKIAC）申請調解
  2. 訴訟：向香港特別行政區法院提起訴訟

15. 一般條款

15.1 完整協議

本條款 + 隱私政策構成您與我們之完整協議，取代先前所有口頭或書面協議。

15.2 可分性

若本條款某條款被認定無效，其餘條款仍然有效。

15.3 不棄權

我們未行使任何權利不構成棄權。

15.4 轉讓

您不得未經我們書面同意轉讓本條款。我們可隨時轉讓本條款（例如出售業務）。

15.5 通知

我們可透過 App 內訊息、您的註冊 email 或於本網頁發布通知。

16. 變更

我們可不時修訂本條款。重大變更將提前 30 天通知。繼續使用本服務即視為接受新版條款。

1. Acceptance of Terms

Welcome to Proofly. By downloading, installing, or using this service, you agree to be bound by these Terms of Service ("Terms") and the Privacy Policy. If you do not agree, please do not use the service.

These Terms form an agreement between the Proofly operator ("we") and you ("user"), governed by Hong Kong law.

2. Service Description

Proofly is an iOS application that provides:

Service nature: This service is a tool to help you organise receipts and draft tax documents. It does not constitute tax, accounting, legal, or financial advice.

3. Account

You must use Sign in with Apple to create an account. You must:

Age: You must be at least 13 years old. Users under 18 are advised to use the service under parental/guardian supervision.

4. Acceptable Use

You may use this service only for: legitimate receipt management and tax drafting purposes for yourself or a business you own/work for.

You must not:

Violators: We may immediately terminate your account and reserve legal recourse.

5. Subscriptions and Billing

5.1 Plans

Free tier (30 receipts/month) and paid subscriptions (Pro / Business / Accountant). Details in Settings → Subscription.

5.2 Billing

All subscriptions are billed through Apple App Store under Apple's terms. Fees charge automatically at the start of each billing cycle until cancelled.

5.3 Cancellation

Cancel anytime via iOS Settings → Apple ID → Subscriptions. You retain access through the paid period. Paid fees are non-refundable, though Apple may issue refunds per their policy.

5.4 Trial

If a 14-day free trial is offered, cancellation must occur at least 24 hours before trial end, otherwise auto-converts to paid.

5.5 Price Changes

We reserve the right to change prices with 30 days' notice. You may accept or cancel.

6. Intellectual Property

6.1 Our Rights

The Proofly name, logo, design, source code, and all related content belong to us, protected by copyright and trademark law.

6.2 Your Rights

Your uploaded receipts and data remain yours. You grant us a non-exclusive, royalty-free, worldwide licence to process such data solely to: - Store, process, classify, generate reports - Improve service quality (after anonymisation) - Retain as legally required

The licence terminates automatically when you delete your account.

7. "Draft" Nature of Reports and Accountant Review

7.1 Not a Substitute

Proofly does not replace a certified public accountant, auditor, or tax consultant. All reports (BIR51, Income Statement, Working Paper, etc.) are marked "UNAUDITED · DRAFT".

7.2 Your Obligations

You are obligated to: - Have a qualified accountant review and sign any document before filing with tax authorities (IRD / DSF / NTA) - Verify all numbers, classifications, and rules yourself - Retain original documents for at least 7 years (IRO §51C)

7.3 Disclaimer

We are not liable for the following arising from reliance on this service: - Underpaid, missed, or overpaid taxes - Tax authority penalties or interest - Audit failures - Business decision losses

8. Service Availability

We aim for 99% monthly uptime but do not guarantee continuous service. We may suspend or interrupt due to:

Interruptions are not breaches and do not entitle you to refunds within paid periods.

9. Third-Party Services

This service integrates: Apple, Cloudflare, POE / Quora. Their separate terms and privacy policies apply. We are not responsible for third-party availability, accuracy, or behaviour.

10. Limitation of Liability

10.1 "AS IS"

This service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

10.2 Damages Cap

To the maximum extent permitted by applicable law, our total liability to you shall not exceed:

10.3 Excluded Damages

We are not liable for indirect, incidental, special, punitive, or consequential damages, including but not limited to: lost profits, tax penalties, goodwill loss, data loss.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, fees (including reasonable legal fees) arising from:

12.1 By You

Terminate anytime via Settings → Account → Delete Account (irreversible, all data permanently deleted).

12.2 By Us

If you breach these Terms, we may immediately terminate your account without notice. Paid fees are not refunded.

12.3 Post-Termination

The following survive termination: §6 (IP), §7 (Disclaimer), §10 (Liability), §11 (Indemnification), §13 (Governing Law), §14 (Dispute Resolution).

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. All disputes shall be submitted to the courts of the HKSAR.

14. Dispute Resolution

Parties shall first attempt good-faith negotiation. If unresolved within 30 days, then:

  1. Mediation: via Hong Kong International Arbitration Centre (HKIAC)
  2. Litigation: in HKSAR courts

15. General

15.1 Entire Agreement

These Terms + Privacy Policy constitute the entire agreement between you and us, superseding all prior oral or written agreements.

15.2 Severability

If any clause is invalid, the rest remain in force.

15.3 No Waiver

Our failure to exercise any right does not constitute waiver.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign at any time (e.g., business sale).

15.5 Notices

We may notify you via in-app messages, your registered email, or this page.

16. Changes

We may revise these Terms from time to time. Material changes will be notified 30 days in advance. Continued use constitutes acceptance.
